1. Definitions

In these Terms and Conditions:

  • "Service" refers to immigration consultation and application support services provided by Ironwood Partners
  • "Client" or "You" refers to the individual or entity engaging our services
  • "We", "Us", or "Our" refers to Ironwood Partners
  • "Agreement" refers to the service agreement formed between you and Ironwood Partners
  • "Application" refers to residency or immigration submissions made to Taiwan authorities

2. Acceptance of Terms

By engaging our services, submitting inquiries through our website, or entering into a service agreement with Ironwood Partners, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. If you are engaging our services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

These terms apply in conjunction with any specific service agreement you sign with us. In case of conflict, the specific service agreement takes precedence.

3. Services Provided

Ironwood Partners provides professional immigration consultation and application support services for Taiwan residency pathways. Our services include:

  • Immigration pathway assessment and consultation
  • Application preparation and documentation support
  • Translation and certification coordination
  • Submission to relevant Taiwan government agencies
  • Application tracking and status updates
  • Strategic guidance for complex immigration matters

Services are provided on a professional basis in accordance with Taiwan immigration regulations and industry standards. The scope of services for your engagement will be specified in your service agreement.

We do not provide legal representation in court proceedings. Our services focus on administrative immigration matters and coordination with government agencies.

4. Client Responsibilities

4.1 Information Accuracy

You are responsible for providing accurate, complete, and truthful information for your immigration application. You must:

  • Disclose all relevant information that may affect your application
  • Provide authentic documents and certifications
  • Inform us promptly of any changes to your circumstances
  • Review all prepared documents before submission

4.2 Cooperation

You agree to:

  • Respond promptly to requests for information or documentation
  • Attend scheduled meetings and consultations
  • Follow guidance provided regarding application procedures
  • Maintain regular communication throughout the process

4.3 Compliance

You are responsible for complying with all Taiwan laws and regulations applicable to your immigration status, including maintaining valid travel documents and adhering to visa or residence permit conditions.

5. Fees and Payment Terms

5.1 Service Fees

Service fees are specified in your service agreement and vary based on the scope of services selected. All fees are quoted in New Taiwan Dollars (NT$) unless otherwise specified.

5.2 Payment Schedule

Unless otherwise agreed:

  • Consultation fees are payable in full at time of scheduling
  • Application services require 50% payment upon agreement signing and 50% before submission
  • Comprehensive programs may follow milestone-based payment schedules

5.3 Government Fees

Service fees do not include government processing fees, translation costs, certification fees, or other third-party expenses. You are responsible for these additional costs, which we will coordinate on your behalf where applicable.

5.4 Refund Policy

Consultation fees are non-refundable once services have been provided. For application services:

  • Fees paid for work not yet completed may be refunded on a pro-rata basis if you choose to terminate services
  • No refunds are provided after application submission
  • Government fees and third-party expenses are non-refundable

6. Intellectual Property

All materials, templates, methodologies, and proprietary processes developed by Ironwood Partners remain our intellectual property. You are granted a limited, non-exclusive license to use materials we provide solely for your immigration application purposes.

Documents and materials you provide to us remain your property. By engaging our services, you grant us permission to use these materials for the purposes of providing immigration services to you.

7. Disclaimers and Limitations

7.1 No Guarantee of Approval

We provide professional services to support your immigration application, but we cannot guarantee approval by Taiwan authorities. Immigration decisions rest solely with government agencies, and outcomes depend on factors including your qualifications, application completeness, and current policies.

7.2 Service Scope

Our services are provided within the scope defined in your service agreement. We are not responsible for:

  • Government processing delays or policy changes
  • Information not disclosed by you
  • Third-party service provider performance
  • Post-arrival settlement support unless specifically contracted

7.3 Professional Advice Disclaimer

While we provide immigration guidance based on our expertise, this does not constitute legal advice for matters outside Taiwan immigration procedures. For tax, estate planning, or other legal matters, we recommend consulting appropriate professionals.

8. Limitation of Liability

To the maximum extent permitted by Taiwan law:

  • Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service in question
  • We are not liable for indirect, consequential, or incidental damages including lost opportunities or relocation expenses
  • We are not liable for damages resulting from information you failed to disclose or inaccuracies in information provided

This limitation does not affect liability that cannot be excluded or limited under Taiwan law, including liability for gross negligence or willful misconduct.

9. Confidentiality

We maintain confidentiality of client information in accordance with professional standards and our Privacy Policy. We will not disclose your personal information except:

  • As necessary to provide immigration services (such as submissions to government agencies)
  • When required by law or legal process
  • With your explicit consent
  • To service providers working on your behalf under confidentiality obligations

10. Termination

10.1 Client Termination

You may terminate services at any time by providing written notice. Upon termination, you are responsible for payment of fees for work completed up to the termination date.

10.2 Our Termination Rights

We may terminate services if:

  • You fail to provide necessary information or cooperation
  • Fees remain unpaid despite reasonable notice
  • We discover material misrepresentation in information provided
  • Continuing services would violate professional or legal obligations

10.3 Effects of Termination

Upon termination, we will provide you with copies of work completed and documents in our possession. You remain responsible for any outstanding fees and third-party costs incurred.

11. Dispute Resolution

11.1 Governing Law

These Terms and Conditions are governed by the laws of Taiwan (Republic of China). Any disputes arising from or related to our services shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.

11.2 Informal Resolution

Before initiating formal proceedings, we encourage informal resolution of disputes through direct communication with our management team.

11.3 Mediation

If informal resolution is unsuccessful, parties agree to attempt mediation before litigation. Mediation costs shall be shared equally unless otherwise agreed.

12. General Provisions

12.1 Entire Agreement

These Terms and Conditions, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Ironwood Partners regarding our services.

12.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions remain in full effect.

12.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

12.4 Assignment

You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations to a successor entity in connection with a business transfer.

12.5 Notices

All notices must be in writing and delivered to the contact information provided in your service agreement or at the addresses listed on our website.

13. Changes to Terms

We reserve the right to update these Terms and Conditions to reflect changes in our practices, legal requirements, or business operations. Material changes will be communicated to active clients via email.

Your service agreement is governed by the terms in effect at the time of signing. Updates to general terms do not affect existing agreements unless mutually agreed in writing.
